Relike Ambassador Agreement

This Ambassador Agreement (“Agreement”) is entered into by and between: ReLike Inc (“Company,” “ReLike,” “we,” “our,” or “us”), the owner and operator of the Relike application (“App”), organized under the laws of Limassol, Cyprus, and Ambassador, an individual participating in the ReLike Ambassador Program (“Ambassador,” “you,” or “your”). Together referred to as the “Parties.”

1. Purpose

The Ambassador voluntarily participates in the ReLike Ambassador Program by creating and submitting original user-generated content (“Content”) promoting the ReLike App. The Company may use the Content for advertising, marketing, promotional, educational, public relations, social media, and other commercial purposes.

2. Content Requirements

The Ambassador agrees to:

  • create original video content;
  • follow ReLike's creative brief and brand guidelines;
  • submit the Content by the requested deadline;
  • ensure the Content complies with applicable laws and platform policies.

The Company may reject any submission that does not meet its standards.

The Company may request revisions, edits, or resubmission.

The Ambassador understands that approval of Content is entirely at the Company's discretion.

3. Intellectual Property License

Upon submission of the Content, the Ambassador grants ReLike an irrevocable, perpetual, worldwide, royalty-free, transferable, sublicensable, non-exclusive license to:

  • use;
  • reproduce;
  • copy;
  • edit;
  • crop;
  • resize;
  • translate;
  • subtitle;
  • dub;
  • modify;
  • create derivative works;
  • publish;
  • distribute;
  • display;
  • publicly perform;
  • broadcast;
  • advertise;
  • promote;
  • commercialize

the Content in any format, technology, platform or media now known or later developed.

This includes, without limitation:

  • Relike App;
  • App Store;
  • Google Play;
  • website;
  • landing pages;
  • blog;
  • emails;
  • push notifications;
  • TikTok;
  • Instagram;
  • Facebook;
  • Threads;
  • X;
  • Snapchat;
  • YouTube;
  • Pinterest;
  • Reddit;
  • LinkedIn;
  • television;
  • digital billboards;
  • podcasts;
  • affiliate marketing;
  • influencer campaigns;
  • paid advertising;
  • AI-generated advertising variations;
  • future marketing channels.

The Company may combine the Content with other materials, graphics, music, voiceovers, animations or advertisements.

The Company is under no obligation to identify the Ambassador by name.

The Company may use only portions of the Content.

4. Name, Image and Likeness

The Ambassador grants ReLike permission to use the Ambassador's:

  • name;
  • username;
  • voice;
  • likeness;
  • appearance;
  • photographs;
  • social media handle;
  • biographical information;
  • image.

These rights may be used together with the Content for commercial and promotional purposes worldwide without additional approval.

5. AI Editing

The Ambassador expressly authorizes Relike to use artificial intelligence tools to:

  • edit the Content;
  • translate it;
  • remove backgrounds;
  • generate captions;
  • create multiple advertising versions;
  • shorten or extend videos;
  • modify voices;
  • improve quality;
  • create derivative advertisements.

6. Compensation

If the submitted Content is accepted, the Ambassador will receive one (1) month of ReLike Premium.

Unless otherwise agreed in writing, this constitutes the Ambassador's sole compensation.

The Ambassador waives any future claim for:

  • royalties;
  • licensing fees;
  • residuals;
  • revenue sharing;
  • advertising income;
  • profit participation;
  • additional compensation of any kind.

7. Ambassador Representations

The Ambassador represents and warrants that:

  • the Content is original;
  • they own all rights necessary to grant this license;
  • the Content contains no copyrighted material owned by third parties without permission;
  • all individuals appearing in the Content have consented to its commercial use;
  • the Content does not violate privacy, publicity or intellectual property rights;
  • the Ambassador is at least 18 years old;
  • participation does not breach another agreement.

8. User Generated Content Consent

The Ambassador expressly agrees that the submitted Content constitutes User Generated Content (“UGC”) and may be used by ReLike for advertising indefinitely. The Ambassador understands that the Company is not required to:

  • publish the Content;
  • continue using the Content;
  • provide reports regarding usage;
  • notify the Ambassador before future use.

9. Exclusivity

During participation in the Ambassador Program and for six (6) months after termination, the Ambassador agrees not to create paid promotional content for dating applications or services that directly compete with ReLike without prior written approval.

Nothing in this Agreement prevents the Ambassador from using competing services for personal, non-commercial purposes.

10. Confidentiality

The Ambassador shall not disclose confidential information relating to:

  • unreleased features;
  • marketing campaigns;
  • pricing strategies;
  • internal documents;
  • business plans;
  • product roadmap;
  • analytics;
  • technical information.

This obligation survives termination.

11. Removal Requests

The Ambassador understands that because advertising campaigns may already be running, ReLike is under no obligation to remove previously published Content.

The Company may voluntarily discontinue use of the Content at its sole discretion.

12. Indemnification

The Ambassador agrees to indemnify and hold harmless ReLike, its affiliates, officers, employees, contractors and partners from claims arising from:

  • breach of this Agreement;
  • inaccurate representations;
  • infringement of third-party rights;
  • unlawful Content submitted by the Ambassador.

13. Limitation of Liability

To the maximum extent permitted by law, ReLike shall not be liable for indirect, incidental, consequential, punitive or special damages arising from this Agreement.

14. Termination

Either Party may terminate participation at any time.

Termination does not affect:

  • the perpetual license granted under this Agreement;
  • rights already granted to ReLike;
  • confidentiality obligations.

15. Amendments

ReLike may update this Agreement by publishing a revised version within the App or on its official website. Continued participation constitutes acceptance of the updated Agreement.

16. Governing Law

This Agreement shall be governed exclusively by the laws of the State of Delaware, United States.

The Parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

17. Entire Agreement

This Agreement, together with the ReLike Terms of Service and Privacy Policy, constitutes the complete agreement between the Parties regarding the Ambassador Program.

If any provision is held unenforceable, the remaining provisions shall remain in effect.

Failure to enforce any provision shall not constitute a waiver.

Electronic Acceptance

By joining the ReLike Ambassador Program, checking the acceptance box, or submitting Content through the ReLike App, the Ambassador:

  • confirms that they have read this Agreement;
  • understand its terms;
  • voluntarily agree to be legally bound by it;
  • grant all rights described herein.

Electronic acceptance shall have the same legal effect as a handwritten signature.
